Terms of Use

Agreement

These Terms of Use are an agreement between you and Sonora Software, LLC, a Wyoming limited liability company, for your access to Church Music Locker, the web product we operate at www.churchmusiclocker.com. Church Music Locker is a brand for that product, not a separate legal entity. By creating an account or using the service, you agree to these terms and to our Privacy Policy.

If you use Church Music Locker on behalf of a church or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.

The service

Church Music Locker helps church music staff catalog sheet music, store files they upload, and plan services and performances. It is not a music publisher, not a public score library, and not a license to perform or copy music.

Accounts

You must provide accurate account information and keep credentials (and organization invitations) under your control. You are responsible for activity under your account and, for a church workspace, for members you invite.

Sheet music and copyright

You retain whatever rights you already have in files and catalog data you submit. You grant Sonora Software, LLC a limited license to host, process, display, and back up that content solely to operate Church Music Locker for you and your workspace members — including sending score pages to subprocessors for optical character recognition and related metadata extraction as described in the Privacy Policy.

You represent that you have the right to upload, store, and share each file and record in your workspace (for example, copies you are authorized to keep for your ensemble). Sonora Software, LLC does not grant performance licenses, mechanical licenses, or reprint permission, and does not police whether your catalog complies with copyright. We may remove content or suspend an account if we reasonably believe it infringes others’ rights or violates these terms.

Acceptable use

You may not:

  • Use the service for anything unlawful
  • Probe, disrupt, or overload our systems or other users
  • Share an account in a way that bypasses per-workspace billing
  • Upload malware or content you do not have the right to store

Subscriptions and trials

Access to the app after sign-up requires a subscription for the active workspace. Personal plans are billed to you. Church plans are billed to the organization and can be managed by an organization admin through the Stripe billing portal.

New subscriptions include a 14-day free trial unless we state otherwise at checkout. After the trial, Stripe charges the selected plan (currently $9.99/month Personal or $14.99/month Church) on a recurring basis until you cancel. You can cancel or update payment methods in Settings via Stripe. Fees already incurred are not refunded except where required by law or where Stripe or we agree otherwise.

If payment fails, we may limit access to the library and planning features until the subscription is current, as described in our help docs.

Availability

We aim to keep Church Music Locker available but do not guarantee uninterrupted service. Features may change. Import and OCR quality depend on the file you provide and on third-party models; extracted metadata may be incomplete or wrong, and you should review it.

Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONORA SOFTWARE, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONORA SOFTWARE, LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR MUSIC FILES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM (OR FIFTY U.S. DOLLARS IF YOU HAVE PAID NOTHING).

Indemnity

You will defend and indemnify Sonora Software, LLC against claims arising from your content, your workspace members’ use of the service, or your violation of these terms or of others’ intellectual property rights.

Termination

You may stop using Church Music Locker and cancel a subscription as described above. We may suspend or terminate access if you materially breach these terms or if we discontinue the product. Provisions that by their nature should survive (including copyright representations, payment obligations already incurred, disclaimers, and limitations of liability) will survive.

Governing law

These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Courts located in Wyoming will have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction.

Changes

We may update these terms. The effective date at the top will change when we do. If you continue to use Church Music Locker after an update, you accept the revised terms. If you do not agree, stop using the service and cancel your subscription.
